MINUTES OF THE ANNUAL MEETING OF THE WWPSA
NOVEMBER 22, 2005
There were more than 100 people present and there were a number of proxies offered in accordance with the Constitution. A quorum was present.
David Westbrook called the meeting to order.
There was a motion to change the order of the meeting to defer voting until after the constitutional amendments were voted upon, since it would determine the number of people to be elected to the Board of Directors. The motion was defeated.
The order of business continued.
Motion to dispense with the reading of the prior yearly meeting’s minutes—Approved
Motion to accept the minutes of last year’s meeting—Approved
Motion not to read the reports of the President and other reports of directors—Approved
Pat Trombetta went over his finance report.
Scott Borsack stated that the Nominating Committee was charged with putting together a slate of officers for consideration for election. There was to be a minimum of 13 officers required under the Constitution and a slate of 13 was set forth. Scott said it was up to the membership to see if there were to be other nominations.

As to VP of Finance: no other nominations
As to Secretary: no other nominations
As to VP Travel: no other nominations
As to VP of Rec: no other nominations
As to VP of Facilities: no other nominations
As to At Large positions: no other nominations
The slate was approved and the election was over.
The constitutional changes were reviewed:
Discussed Article 8b and the proposed changes. Had vote, including counting of all proxies and the motion to change was defeated.
All other proposed changes were approved, with a modification to Article 15 change to state …”upon a motion approved by the Board or a petition….”, also approved.
There was then a question and answer period, with there being a discussion of how travel teams are chosen, how the grievance committee handled certain affairs, what the Board intends to do to interact with each other. The meeting was adjourned at approximately 9:30PM.
